Terms & Conditions

This agreement (the “Agreement”) is a legally binding agreement between you and Sprout Futures Ltd, operating as Sprout (“Sprout”), a company registered in England and Wales, company number 13542993, 71-75 Shelton Street Covent Garden London WC2H 9JQ. The Agreement governs your use of Sprout’s online services, including but not limited to https://eatwithsprout.com and all associated subdomains (the “Website”), and the Sprout website application (“App”, “WebApp”).

For simplicity, the features and functionality of both the WebApp, the Website, along with all its content (whether accessed wirelessly, electronically, or downloadable for printing), and the programs will be referred to as “Sprout Services”. In this Agreement, “we”, “us”, “our”, and “ours” refer to Sprout, including any parent company, subsidiaries, branches, or affiliates under common ownership or control of Sprout. “You”, “your”, and “yours” refer to any user of the Sprout Services.

Sprout includes a self-help lifestyle improvement program with related expert articles, tools and health tracking technology. This program can be undertaken digitally through the website, in team-based cohorts or one-to-one with a dedicated professional.

Please note that you must read and agree to the terms of this Agreement before using Sprout. If you do not agree to the terms, you may NOT use the Sprout service.

1. Access to our Services

By accessing and using Sprout Services, you affirm that you are at least 18 years old and that any personal information you provide to Sprout is accurate and up to date. You also acknowledge that you have read and agreed to the terms of this Agreement, Sprout’s Privacy Policy, and Posting Policy, and that you are bound by these terms and conditions under the applicable laws.

2. Service Description and Limitations

Sprout provides services to help parents overcome fussy eating in their children. Sprout Services include information and activities designed to understand the root causes of fussy eating and put in place a plan of action to manage fussy eating for the long term. Sprout reserves the right to modify, update or discontinue its Services at any time without notice. Your use of the service constitutes your acceptance of these terms. Sprout makes no representations or warranties regarding its services.

Sprout provides a wealth of information and suggestions to help you and your child overcome fussy eating and improve family mealtimes, but it does not provide or intends to provide professional medical advice. By accessing Sprout’s personalised services, you accept full responsibility for deciding which suggested techniques to implement and how to apply them. Sprout is not a medical organisation, and the service is not intended to diagnose, treat, or address medical issues. The information provided, including contributions from Sprout employees, partners, and other users, is for educational purposes only and should not be considered medical advice. It is strongly recommended to consult a medical professional before starting any program like Sprout. If a doctor or other medical professional provides conflicting advice, their advice should take precedence over the information provided through Sprout.

Sprout Services, website, and app are not intended for use by minors, and parents who have children with health conditions are advised to seek professional medical guidance before paying for and beginning to use our Services.

3. Service and Fee Structure

Sprout Services consists of several types of service for users:

3.1. Sprout Website: An online website with free available information in the form of web pages, a blog, free-to-download advice/templates (e.g. the free Picky Profile Template) and free quizzes (e.g. Free Pickiness Quiz) to help parents understand more about picky eating and their child.

3.2. Sprout Digital: An online platform which contains various digital tools to help you overcome fussy eating in children. Each digital tool is made of 3 elements: learning content to increase knowledge, practical activities to try and questions to help us tailor the activities to your specific needs. Each digital tool is priced differently.

To start with the pure-online service, Sprout Digital, a one-off fee of £14.99 is required to create a Picky Profile for you and your child.

Following this, you will have the option to upgrade to the full Sprout Digital service for £34.99.

3.3. Sprout Team: A cohort-based program with a Sprout Expert who will guide you through the learning content, activities and questions. Providing opportunity to learn from other users and have your questions answered directly from the Sprout Expert.

To start with the cohort service, Sprout Team, a one off fee of £14.99 is required in order to create a Picky Profile for you and your child.

Following this, you will have the option to upgrade to the full Sprout Team service for £184.99. This payment will be taken in stages, as 3 payments of £61.66, one per month.

With Sprout Team you will gain access to everything in Sprout Digital as well as all the services in Sprout Team.

3.4. Sprout Personal: A personal, one-to-one program with a Sprout Expert who will guide you through the learning content, activities and questions. This provides you with dedicated support.

To start with the one-to-one service, Sprout Personal, a one off fee of £14.99 is required in order to create a Picky Profile for you and your child.

Following this, you will have the option to upgrade to the full Sprout Personal service for £584.99. This payment will be taken in stages, as 4 payments of £146.25, one per month.

With Sprout Personal you will gain access to everything in Sprout Digital as well as all the services in Sprout Personal.

Any future launches will be communicated to you in due time and you will have the opportunity to choose the right subscription and service level you and your children require.

No upfront payment will be taken before your explicit consent.

4. Discovery Call

Ahead of Sprout Personal, you are ableto book a discovery call to better understand whether the programme with Sprout is right for you. You will use our booking tool online to find a suitable time for a Zoom based call with a Sprout Expert to talk more about the services we offer. This discovery is focused on establishing if Sprout Personal is the right approach for your situation, it will not provide you with actionable advice.

5. Payments, Satisfaction and Refund Policy

Payment can be made via debit/credit card, Google Pay or ApplePay directly on the Sprout website. We use Woocommerce as our payment gateway and we process payments using Stripe . Please make yourself aware of their terms and conditions as we cannot be held responsible for any failures of payment services provided by independent third parties.

Sprout offers a 7 day free trial for the Picky Profile. You can cancel at any time in this 7 day period if requested through the live chatbot on the My Account page or through our support email support@eatwithsprout.ac-inbox.com .

No requests for refunds for the Picky Profile will be entertained following the 7 day free trial.

On Sprout Digital, Sprout Team and Sprout Personal, we offer a satisfaction guarantee. If you are not satisfied with our service we promise to work closely with you to try to address and resolve any issues you have. If you are still not satisfied after reasonable efforts to rectify the situation, we will offer a partial refund of the amount paid for the specific service/product in question. The exact amount of the refund will be determined at our sole discretion, taking into account the nature and extent of the dissatisfaction, the costs incurred by both parties, and any other relevant factors. The refund will not exceed 50% of the price of the service in question.

This Satisfaction Guarantee is subject to our standard terms and conditions, including any limitations or exceptions therein. We reserve the right to modify or revoke this guarantee at our discretion, provided we give adequate notice of any such changes in line with our terms of service.

Any refunds will be made through the method used to pay for your chosen service.

In the circumstance that there is a change to Sprout

6. Payment Failure

Should any of your payments (upfront or instalment) fail at any time your account and access will be restricted and you will be sent an email to inform you and request you update your payment details. You can change your payment details in the MyAccount section of the webapp or use the chatbot to get in touch if you have been locked out.

On updating your payment details we will attempt to take the payment straight away. If this is successful your account will be re-instated. If not, we will attempt to retake payment a further 5 times over the next 7 days to re-instate your account. Following this time your account will be locked.

7. Delivery and Access Mechanism

Upon payment, access to the Picky Profile and Sprout Digital will be provided through a secure online platform. Login information and a unique link will be sent via email. It is your responsibility to have suitable equipment and stable internet connection. Minimum technical requirements include a mobile device with a browser and stable internet connection. Sprout cannot guarantee service availability at any given time and will not accept responsibility for any downtime including scheduled or un-scheduled maintenance and other issues outside of our control.

For Sprout Team and Sprout Personal, your Sprout Expert or a member of the wider Sprout team will reach out to you on email following payment of the first instalment.

For Sprout Team and Sprout Personal, all key sessions will be run on Zoom (or an equivalent video conferencing tool). It is your responsibility to have a working internet connection for all sessions. We will not reschedule at last minute for missed sessions.

For Sprout Team users, a Facebook group will be available for your cohort to communicate with your Sprout Expert and the rest of your group.

All other communication with your Sprout Expert and the wider Sprout Team, outside of organised sessions, will be through email. If at any time you are struggling to remember who to contact, use the chatbot on the website or email support@eatwithsprout.ac-inbox.com

8. Working with multiple experts at Sprout

With the Sprout Team and Sprout Personal services you may see more than one Sprout expert during your programme. For Sprout Team, the programme engages more than one of our team’s skills and expertise to bring you the best of nutrition and psychology advice. For Sprout Personal, while you will have a dedicated Sprout Expert, they may suggest the involvement of another member of the Sprout team to support your goals.

9. Duration and Termination

The Sprout Website is completely free and available until we deem necessary to stop or remove these services.

The Picky Profile and Sprout Digital services are ongoing and begin on the date of payment of the applicable one-off fee as provided in Section 4 above.

The Sprout Team and Sprout Personal services are fixed period programs which are subject to change but typically 10 weeks for Sprout Team and 4 sessions (which may take 8-16 weeks) for Sprout Personal.

You may terminate the service at any time by providing written notice via email to support@eatwithsprout.ac-inbox.com .

Sprout may also terminate service at any time without notice if it is found that you have used the Sprout Services for or as part of any potentially harmful or illegal activities or you have attempted to reverse-engineer, copy or use in any other way, without permission, any of our platform’s features, images, text, code or any other intellectual property that belongs to Sprout. Harmful activity may include but not be limited by, harassment, bullying, or spreading misinformation.

Upon termination, access to the service will cease and any applicable fees will not be refunded. In the event of termination, all materials obtained from our Services must be destroyed. Sprout reserves the right to alter the platform in the future and will upgrade users or provide an offline version of their information.

10. Responsibilities

10.1.2.Maintain availability and accessibility of the service.

10.1.3.Keep customer information confidential and secure.

10.1.4.Comply with all applicable laws and regulations.

10.2. You agree to:

10.2.1.Pay the fees for the Sprout Services as provided for by these Terms and Conditions.

10.2.2.Provide accurate and up-to-date information about yourself, your child and their health condition and eating habits

10.2.3.Comply with all applicable laws and regulations.

10.2.4.Use the service only for lawful purposes and in a manner that does not infringe on others.

10.2.5.Keep login information confidential and secure and immediately notify Sprout of any unauthorised use.

11. Data Protection & Privacy Policy

We agree to handle all customer personal data in accordance with applicable data protection laws and regulation. You retain the right to access, modify, and request deletion of your personal data at any time. We will not share or sell your data to any third party without prior consent. In case of a data breach, we will notify the customer as soon as possible and take necessary steps to rectify the situation. 12. Intellectual Property Rights

The service and all materials contained therein, including all intellectual property rights, are the sole and exclusive property of Sprout and its licensors. You agree not to use the service or any materials contained therein for any commercial purpose or for any purpose other than as specifically authorised in writing by Sprout. You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes any portion of the service or access to the service. You agree not to modify, alter, or create derivative works of any materials contained in the service. Any unauthorised use may violate copyright, trademark, and other applicable laws and may result in termination of your access to the service and possible legal action.

13. Limitation of Liability and Indemnification

The company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the service. The company’s total liability to you for all damages, losses, and causes of action arising out of or in connection with your use of the service, or your inability to use the service, shall not exceed the amount of fees paid by you for the service.

You agree to indemnify, defend, and hold harmless the company and its affiliates, directors, officers, employees, agents, and representatives from and against any and all claims, damages, losses, liabilities, and expenses arising out of or in connection with your use of the service or your breach of these terms and conditions.

14. No Warranty

Sprout makes every effort to ensure the accuracy of the information and resources provided through our website https://eatwithsprout.com and the Sprout services. However, we cannot guarantee their accuracy or availability.

The online tools, services, and information available through our website and program are provided “as is” and without warranties of any kind, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, compatibility, or satisfactory quality. Sprout is not obligated to update the information on the website.

We use reasonable efforts to ensure the security of the website and program, but we cannot guarantee it. You are responsible for your own security and the protection of your personal information and computer systems.

Sprout accepts no liability for any disruptions or unavailability of the website or program. We reserve the right to modify, suspend, or discontinue any part or all of the website or program at any time. These terms and conditions will continue to apply to any changes unless otherwise stated.

15. Partnerships and Third-party Services

15.1. Collaborations: Sprout collaborates with selected partners to enhance the quality and breadth of the services we provide. Some of these partnerships involve third-party individuals or entities delivering certain aspects of our services or providing complementary services.

15.2. Third-party Resellers: Additionally, Sprout may engage with channel partners who may offer our services to their customers. When you purchase or access our services through these partners, the terms and conditions of both Sprout and the third-party partner may apply. We encourage you to review any terms and conditions provided by such partners.

15.3. Third-party Responsibility:While we strive to work with trustworthy and competent partners, Sprout is not responsible for any actions, services, content, or data handling practices of these third-party partners. Any grievances or disputes related to services provided by a third party should be addressed directly with that third party.

15.4. User's Responsibility: It is your responsibility to recognize when you are interacting with or receiving services from a third-party partner and to review any additional terms or policies that may apply.

15.5. Data Sharing with Partners: We may share your information with our partners to the extent necessary for them to provide their services to you. All our partners are expected to maintain the confidentiality and security of your data in alignment with applicable laws and regulations, and our data protection standards.

16. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales.

We currently only serve customers in this jurisdiction.

17. Dispute Resolution

If any dispute arises between you and Sprout Futures Ltd. in connection with the Sprout Services or the terms and conditions of this Agreement, the parties agree to attempt to resolve the dispute through good faith negotiations. If the parties are unable to resolve the dispute through negotiations, either party may seek resolution through arbitration under the Rules of the London Court of International Arbitration (LCIA). The arbitration shall be conducted in London, England and shall be conducted in the English language. The arbitration decision shall be final and binding on the parties, and judgment may be entered in any court of competent jurisdiction.

This Dispute Resolution Clause shall not prevent Sprout Futures Ltd. from seeking interim or provisional relief from a court of competent jurisdiction in connection with any dispute or claim arising under this agreement.

18. Entire Agreement

These terms and conditions, together with the company’s privacy policy, constitute the entire agreement between you and the company regarding the use of the service. If any provision of these terms and conditions is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. The failure of the company to enforce any right or provision in these terms and conditions shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

19. Modifications to Services and Terms

19.1. Service Changes: Sprout reserves the right, at its sole discretion, to modify, suspend, or discontinue any service or feature provided by Sprout at any time without prior notice. While we endeavour to provide timely and accurate information to our users, there may be times when certain services or features are unavailable. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the service.

19.2. Changes to Terms: We may revise and update these terms and conditions periodically, reflecting changes in our services, technology, regulations, and feedback from our users. Should these terms be substantially altered, we will notify registered users via the email address associated with their Sprout account and/or post a prominent notice on our platform.

19.3. Acceptance of Changes: Your continued use of Sprout’s services after such changes have been notified will constitute your agreement to such changes. If you do not agree with any of the updated terms and conditions, you must stop using the Sprout services and notify us immediately.

19.4. Historic Versions: Whenever these terms and conditions are altered, we will maintain an archived version of our previous terms for users to review for a period of 36 months.
